Terms and Conditions of Operation
1.1 It is the client’s responsibility to obtain permission to film within venues and locations as detailed in the project brief. Any additional fees or licenses imposed are the responsibility of the client. Vidoo Limited will not be responsible for coverage lost due to access restrictions. We advise the client to check this before booking with Vidoo Limited.
1.2 Vidoo Limited reserve the right to cancel this contract at any time for any reasonable cause e.g. accident or ill health. In such an event all monies paid will be refunded in full.
1.3 Although Vidoo Limited will take great care to produce a video of high quality, we will not be held responsible for production problems beyond our control including but not limited to equipment malfunction, power failure, defective tape stock or media, poor lighting/acoustics, bad weather or interference from external parties.
1.4 Vidoo Limited reserves the right not to use our equipment in certain situations e.g. extreme weather conditions, which may compromise the safety of our equipment or production crew.
1.5 Creative aspects such as shooting and editing style will be as agreed upon within the brief. If the client provides no brief on the style it will be down to the creative interpretation of Vidoo Limited.
1.6 Although Vidoo Limited will try to capture all the key members of the event we do not guarantee specific individuals or objects will be included within the finished video.
1.7 Whilst we shall make every effort to arrive at the booking in plenty of time, we cannot be held responsible for delays caused by traffic delays, unforeseen illness or incapacity. We reserve the right to change the nominated production crew at any stage.
1.8 The client understands and accepts that the filming will be as determined by the production crew’s professional expertise. Despite every effort being made to comply with the client’s wishes as detailed in the project brief special and specific requests from the client are not binding instructions.
1.9 Vidoo Limited reserve the right to refuse to work at a location if it is deemed to be unsafe, or would compromise the health and safety of our crew members.
2.0 We reserve the right to change the nominated production crew at any stage.
2.1 Vidoo Limited accepts no liability for any loss or damage that may arise from the supply of the product(s) or service(s). In the unlikely event of Vidoo Limited being unable to supply the product(s) or service(s) as specified in the order, liability shall be limited to the total invoice value.
2.2 The client can option an initial free re-edit providing they are in line with the project brief. After this initial re-edit if the client wishes alterations to be made, due to mistakes within or changes from the initial project brief an additional editing fee will be charged at £50 per hour.
2.3 Upon receiving the finished products(s) the client must inform Vidoo Limited of any technical or other problems within 7 working days. After this time, if no notification has been received, the client will be deemed to be satisfied with the product(s).
2.4 Unless otherwise agreed I give Vidoo Limited my permission to create and use the material in any media, for any purpose (excluding defamatory, libellous or otherwise unlawful), which may include, among others, advertising, promotion, marketing and packaging for any product or service without payment or any other consideration. I agree that the Content may be combined with other content, text/graphics and cropped, altered or modified. I agree that all rights to the Content belong to Vidoo Limited and I waive any right to royalties or other compensation arising or related to the use of the Contents.
General
4.1 Should Vidoo Limited choose not to enforce any of or all of these conditions it should not be interpreted as a waiver of any of the Company’s rights. No variation on the Terms and Conditions will be binding unless agreed in writing and signed by an authorised representative of Vidoo Limited.
4.2 There is no time limit on the validity of this release nor is there any geographic limitation on where these materials may be distributed. This release is irrevocable, worldwide and perpetual, and will be governed by the laws of England, excluding the law of conflicts.
4.3 It is agreed that personal or company information will not be made publicly available but may only be used directly in relation to the licensing of the relevant content where necessary (e.g. to defend claims, protect rights or notify trade unions) and may be retained as long as necessary to fulfil this purpose, including by being shared with sub licensees/assignee of Vidoo Limited and transferred to countries with differing data protection and privacy laws where it may be stored, accessed and used. Vidoo Limited will treat any information gained during the supply of the product(s) or service(s) as being private and confidential. Likewise, the client shall keep confidential any methodologies and technology used by Vidoo Limited to supply the product(s) or service(s).
Payment
5.1 All bookings require that 50% of the invoice is due at the time of booking, your date and booking will only be secured on receipt of payment. No product or services will be supplied by Vidoo Limited until this deposit has been received.
5.2 Our payment terms are on a strict 30-day period from the invoice date. Statutory interest (at 8% over the current Bank of England base rate) will be charged on outstanding balances after this time. Compensation for recovery costs under late payment legislation may also be charged to the client if money owed is not received by the agreed date and under the agreed credit terms. Vidoo Limited reserves the right to withhold the final and completed product(s) until full and final payment is received.
Cancellation Policy
6.1 If you provide 5 working days’ notice that you need to cancel a booking we don’t charge a fee, other than out of pocket expenses or cost incurred to that point. If you provide us with 3 working days’ notice we will charge 50% of the full project fee. If you give us less than 2 working days’ notice we will charge the full balance of the project fee.
Definitions:
Assigns: Means a person or any company to whom Vidoo Limited has assigned or licensed rights under this release as well as the licensees of any such person or company.
Contents: Means all photographs, film, video and audio taken as part of the shoot.
Media: Means all media including digital, electronic, print, television, film, internet and other media now known or to be invented.
Shoot: Means the photographic or film/video session described in this form.
Client: As detailed at the start of the booking contract.
